Our focus is on representing sellers of businesses, though we also help buyers of businesses in certain select cases. Our firm provides mergers and acquisitions advisory services only to a small number of carefully selected clients each year in order to focus the time and attention we supply each, and to maximize the chances of a successful closing.  Key characteristics of our clients include:

Our Mergers and Acquisitions Process

Each sale process is uniquely constructed to the particular characteristics of each client.  However, processes typically include the following steps:

  1. Initial Evaluation–we will work with you to learn more about  the strengths and weaknesses of your business.  During this phase we will provide you with an initial view on valuation and a most-likely deal structure and discuss whether or not we are a good fit with your goals.
  2. Pre-Marketing–we will work with you to develop professional, flattering marketing materials for your business, as well as prepare a dataroom and key pieces of analysis for potential buyers. Our pre-marketing process is much more detailed and thorough than other small and medium-sized business mergers and acquisitions advisory firms and focuses on telling the unique story of your business in the best light possible.  In this phase we anticipate and manage  any potential issues that may present themselves later in the mergers and acquisitions process. Where there is time, we also may suggest discrete Business Consulting projects that will add to your business’s valuation and increase the  interest from potential buyers.
  3. Marketing–when ready, we will present your business to our proprietary, carefully cultivated, pre-screened list of buyers. We will encourage buyers to bid against one another to produce additional value for you, and our extensive experience as business buyers ourselves will allow us to proactively manage your process to good effect.
  4. Negotiation and Closing–working with experienced legal counsel, we will lead deal negotiations on your behalf and manage the closing process to best protect your interests and compensation from the sale. Our deep experiences and expertise in the mergers and acquisitions process will allow us to spot and manage potential issues many other advisors in the market will often miss.
  5. Post-Closing–we will support you in transitioning ownership to the buyer, communicating with affected stakeholders, and collecting any remaining outstanding transaction proceeds. Should any issues develop during this phase, we will support and advise you on the best course of action to remedy them.
